There are many pubs, hotels, restaurants and cafes that are for sale.

There are numerous premises & lands for sale with planning consents attached for ‘change-of-use’ & or expansion.

Unfortunately many of these are ‘white elephants’ & will never perform for a host of reasons.

It is our opinion that most selling agents will go through their own database and ‘little black-book of clients’ to give them the first opportunity for purchase prior to advertising openly, it is their fastest and easiest method of sale requiring little to no work at all. It is reasonable to state that when these prime clients refuse these opportunities it is because of a host of issues that plainly need to be investigated, especially so if the premises and or lands are then on the open market for long periods without serious interest.

Please be aware that a selling agent or the present business owner is not acting in your interests, they are acting in the interests of the seller or themselves. Information provided to yourself regarding the premises, land and the businesses performance cannot be treated as impartial. It should therefore not be relied upon as your prime source of information for basing a business purchase on.

Do not be fooled by attractive prices or ‘purchase deals’ – if a price, agreement or proposal is too good to be true then it must be treated with suspicion and investigated thoroughly. We unfortunately come across many situations where a business has been bought at a vastly reduced or give-away price (freehold & leasehold) only for it to go into liquidation within a year or less. The common reason for many of these failures were business revenues dangerously low on entry and were unable to be increased for a number of reasons and could not therefore keep pace with the following basic operational and fixed costs that are immediate for payment once trading commences;

  • Certificates & licenses
  • Utilities & waste collection
  • Repairs & renewals
  • Salaries
  • Professional fees
  • Business rates
  • Compliance & due diligence
  • VAT, PAYE, CORP TAX

A business may be bought at a heavily discounted price making it seem very attractive, but the reality is that your or your tenants operational and fixed costs are never discounted and are at full rate, if the revenue does not match the necessary break-even level of ‘revenue against costs’ then the business is in serious trouble from day one. It must be stated that the revenue must be at the correct tariffs & sale levels to achieve the correct profit that is able to pay ALL bills. Heavily discounted tariffs to customers may create decent revenue levels but it will not be possessive of the correct profit element to pay for all other bills after the stock purchases are paid for.

Irrespective of the size or nature of the purchase, it is prudent to invest a tiny fraction of the proposed investment to confirm the viability of the property and business long term, also to ensure that other trading options are available and achievable should unforeseen circumstances materialise that are out of any investors control : i.e. local and regional economic downturns, full and partial recessions, competitor increase, parking facilities, A & B road re-routing & bypasses, and inappropriate or adverse developments and planning consents by councils or neighbours.

Please understand, your accountant, solicitor & bankers (with all due respect) do not possess the necessary industry experience and up to date knowledge to be able to correctly evaluate the numerous factors and variables that can make or break a hospitality based business.
